Terms of Service

These Terms of Service (“Terms”) are a contract between Kraft Ventures, LLC, a Delaware limited liability company with registered office at 131 Continental Dr, Suite 305, Newark, DE 19713, United States (“uSigning”, “we”, “us”) and the person or entity that creates an account or uses the Service (“you”, “Customer”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

Service — the uSigning electronic-signature web application and API, together with the marketing site at usigning.com.

Contract — any document you upload, send, sign, or store through the Service.

Signer — a person invited by a Customer to sign a Contract, whether or not they hold a uSigning account.

Subscription — a paid plan granting access to specific features of the Service for a recurring fee.

2. The Service

uSigning provides software for sending, signing, and storing electronic contracts. The Service is provided over the internet and is billed as a subscription. We are a technology provider — we do not provide legal advice, notarial services, or verification of the identity of signers beyond the audit trail we generate.

3. Electronic signatures

Signatures collected through the Service are electronic signatures within the meaning of the US Electronic Signatures in Global and National Commerce Act (E-SIGN, 15 U.S.C. §§ 7001 et seq.), the Uniform Electronic Transactions Act (UETA) as adopted by most US states, and (for EEA / UK use) the “simple electronic signature” category under Regulation (EU) No 910/2014 (eIDAS). Under those laws an electronic signature cannot be denied legal effect solely because it is in electronic form.

Whether a specific contract is legally valid or enforceable depends on its content, the parties, and the applicable law — you are responsible for ensuring the Contracts you send are appropriate for your use case. Certain documents (e.g. wills, adoption papers, some real-estate transactions, court orders, notarial deeds) are excluded from E-SIGN / UETA or require notarised or qualified signatures and cannot be validly executed with a simple electronic signature.

4. Your account

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity that occurs under your account, including any Contracts sent from it. If you believe your account has been compromised, email us immediately at [email protected]. You must be at least 18 years old and legally able to enter into contracts.

5. Billing & subscriptions

Paid plans are billed in advance on a monthly or annual basis via our payment processor Stripe. Prices are shown on the pricing page and are exclusive of sales tax, VAT, or other transaction taxes, which are added where legally required.

Subscriptions auto-renew at the end of each billing period at the then-current price. You can cancel at any time from your account settings; cancellation takes effect at the end of the current period and you retain access until then.

Refunds are handled case-by-case. Consumers in the European Union have a statutory 14-day withdrawal right under Directive 2011/83/EU; by starting to use the paid Service before the end of that period you expressly acknowledge that you will lose that right once the Service has been fully performed. This paragraph does not create additional refund rights for customers outside the EU.

6. Acceptable use

You may not use the Service to:

• send fraudulent, forged, or misleading documents;
• impersonate any person or entity;
• send spam, phishing, or unsolicited commercial messages;
• distribute malware or attempt to circumvent our security measures;
• violate any applicable law, regulation, or third-party right;
• reverse-engineer the Service, or use it to build a competing product.

We may suspend or terminate accounts that violate these rules, with or without notice, and cooperate with law-enforcement authorities where required.

7. Your data

You retain all rights in the Contracts and other content you upload. You grant us a limited licence to store, process, transmit, and display that content solely as necessary to provide the Service. How we handle personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

8. Intellectual property

uSigning, the uSigning logo, and the underlying software are the property of Kraft Ventures, LLC. Nothing in these Terms transfers ownership of the Service to you. You are granted a non-exclusive, non-transferable right to use the Service during the term of your Subscription, subject to these Terms.

9. Third-party services

The Service integrates with third-party services (e.g. Stripe, Google, Resend). Your use of those services is subject to their own terms and privacy policies. We are not responsible for the acts or omissions of third parties.

10. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR PERFECTLY SECURE. Nothing in this clause excludes or limits any statutory rights that cannot be excluded under applicable consumer-protection law.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE FEES YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA. Nothing in this clause limits our liability for death, personal injury caused by our negligence, fraud, or any liability that cannot be limited under applicable law.

12. Indemnification

You agree to defend, indemnify, and hold Kraft Ventures, LLC harmless against any third-party claim arising from your breach of these Terms, your misuse of the Service, or the content of the Contracts you send, except to the extent caused by our negligence or wilful misconduct.

13. Term & termination

These Terms apply for as long as you have a uSigning account. You may terminate at any time by cancelling your Subscription and requesting account deletion. We may terminate or suspend your account for material breach of these Terms, non- payment, or if required by law. Clauses 7, 8, 10, 11, 12, 15 and 17 survive termination.

14. Data export on termination

For 30 days after termination you may export your Contracts and audit trails in a machine-readable format from your account settings. After that period we may delete your account data, subject to the retention obligations described in our Privacy Policy.

15. Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including internet outages, third-party service failures, natural disasters, war, or acts of public authorities.

16. Changes to the Service or Terms

We may modify the Service (features, pricing, availability) or these Terms. For material changes to these Terms we will announce the change on this page and, where practical, by email at least 30 days before it takes effect. Continued use of the Service after a change takes effect constitutes acceptance.

17. Governing law & jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, and you consent to personal jurisdiction in those courts. Nothing in this clause deprives a consumer of the protection of any mandatory rule of the law of the country in which they have their habitual residence.
